The Institute of Directors of Lesotho (IoD Lesotho) was established with a clear mandate to be the leading force in promoting and advancing good corporate governance within the Kingdom of Lesotho. Since its inception, the IoD Lesotho has remained committed to the following key objectives:
We assist corporate entities in Lesotho by embedding the principles of good corporate governance into their policies, compliance plans, service protocols, and standard operating procedures.
Our mission is to advocate for and advance good corporate governance across all economic sectors within the borders of Lesotho, with the ultimate goal of fostering a sustainable fiscal and economic environment.
As a prominent non-governmental body, we are dedicated to promoting good governance practices in both the public and private sectors, ensuring that ethical leadership prevails.
We work tirelessly to influence, promote, and develop ethical and effective leadership throughout all sectors of the economy. Our goal is to create a stable, sound, and ethical economic environment in Lesotho.
The IoD Lesotho oversees the designation, accreditation, membership, and continuous professional development of directors and aspiring professional directors across Lesotho’s corporate sector. This includes the conceptual development of the Mohlomi Corporate Governance Code and the General Code of Conduct for Directors.
We serve as the pivot, convenor, and secretariat to the Mohlomi Committee on Corporate Governance, ensuring that best practices are consistently applied throughout the nation.
The IoD Lesotho is managed by an Executive Committee, chaired by the Chief Executive Officer (CEO), who reports to the Board of Directors. Various Board Committees are in place to provide oversight and guidance, including:
Ensures internal controls, financial viability, and risk management for the IoD Lesotho.
Oversees socio-economic impacts, ethical conduct, environmental conservation, and sustainable development.
Manages Board composition, selection processes, and fair remuneration.
Oversees the endowment, revocation, and maintenance of IoD Lesotho designations and accreditations.
Good corporate governance is crucial for creating a stable financial environment conducive to public and private sector investment. Our strategic partners, including state-owned entities and companies in key sectors like mining, construction, and financial services, stand to benefit from our governance initiatives. The IoD Lesotho aims to combat governance decay, reduce corruption, and equip corporate leaders with the skills necessary for effective risk management and business continuity.
